1. Introduction and Scope

BeeMatch ZhiFengXunYuan ("ZhiFengXunYuan" or the "Platform") is operated by BeeMatch AI Technology Limited, a company incorporated under the laws of the Hong Kong Special Administrative Region ("BeeMatch", "we", or "the Company"). "BeeMatch ZhiFengXunYuan" is the brand name of the Platform, and the legal contracting entity is BeeMatch AI Technology Limited.

BeeMatch 智蜂尋源（以下簡稱「智蜂尋源」或「平臺」）由 BeeMatch AI Technology Limited（一家依據香港特別行政區法律註冊成立的公司，以下簡稱「BeeMatch」、「我們」或「本公司」）運營。「BeeMatch 智蜂尋源」爲平臺品牌名，法律簽約主體爲 BeeMatch AI Technology Limited。

This Creator Service Agreement (the "Agreement") is a legally binding agreement between you (the "Creator" or "you") and BeeMatch AI Technology Limited concerning your access to and use of the ZhiFengXunYuan Platform and related services. This Agreement applies to: (i) the official website at https://beematchai.com (the "Website"); (ii) the ZhiFengXunYuan online Platform; and (iii) all related services and content we provide through the Website or the Platform (collectively, the "Services").

本創作者服務協議（以下簡稱「本協議」）是您（以下簡稱「創作者」或「您」）與 BeeMatch AI Technology Limited 之間就您訪問和使用智蜂尋源平臺及相關服務所訂立的具有法律約束力的協議。本協議適用於：(i) 官方網站 https://beematchai.com（以下簡稱「網站」）；(ii) 智蜂尋源在線平臺；及 (iii) 我們通過網站或平臺提供的全部相關服務與內容（以下合稱「服務」）。

By accessing, registering an account, browsing, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to any provision of this Agreement, please do not register for or use the Services.

一旦您訪問、註冊賬戶、瀏覽或以其他方式使用我們的服務，即表示您已閱讀、理解並同意受本協議約束。如您不同意本協議的任何條款，請勿註冊或使用服務。

2. Definitions

Unless the context otherwise requires, the following terms used in this Agreement have the meanings set out below:

  • "Platform" means the BeeMatch ZhiFengXunYuan online platform, including the website, mobile applications, and all related functional modules.

  • "Creator" or "Influencer" means a content creator who has an established follower base on social media platforms and engages in promotional collaborations with Brands through the Platform.

  • "Brand" means an advertiser or commissioning party that initiates a Campaign through the Platform and seeks influencer promotional collaboration.

  • "Campaign" means a specific promotional activity initiated by a Brand through the Platform and undertaken and executed by a Creator, including content creation and publication.

「Campaign」　指品牌方通過平臺發起、創作者承接並執行的特定推廣活動，包括內容創作與發佈。

  • "Creator Content" means any content you submit, upload, or publish through the Platform, including but not limited to profile information, portfolios, pricing information, drafts, final deliverables, and communication records.

「創作者內容」　指您通過平臺提交、上傳或發佈的任何內容，包括但不限於個人資料、作品集、報價信息、稿件、最終可交付物及溝通記錄。

  • "Phyllo" means a third-party data API service provider integrated into the Platform, used to obtain authorized public social media data.

「Phyllo」　指平臺集成的第三方數據 API 服務商，用於獲取經您授權的社交媒體公開數據。

  • "Airwallex" means the licensed payment service provider designated by the Platform to process Brand payments and Creator compensation disbursements.

「Airwallex 空中雲匯」　指平臺指定的持牌支付服務商，用於處理品牌方付款及創作者報酬轉付。

3. Eligibility and Account Registration

You represent and warrant to us that: (a) you have reached the legal age of majority in your jurisdiction and have full civil capacity; (b) if you use the Platform on behalf of a business or legal entity, you have been duly authorized to do so by that entity; (c) all information you provide is true, accurate, complete, and kept up to date; and (d) you will comply with this Agreement and all applicable laws and regulations.

3.2 Account Security

To use the Services, you must register an account. You undertake: (a) to provide true and accurate registration information; (b) to safeguard your login credentials and be responsible for all activities under your account; and (c) to notify us immediately at support@beematchai.com upon discovering any unauthorized use of your account or any security incident.

爲使用服務，您須註冊賬戶。您承諾：(a) 提供真實、準確的註冊信息；(b) 妥善保管登錄憑證，對您賬戶下的所有活動負責；(c) 一旦發現賬戶存在未授權使用或安全事件，立即通過 support@beematchai.com 通知我們。

4. Description of Platform Services

ZhiFengXunYuan provides Creators with the following core services:

Based on the Brand's Campaign requirements and your content niche, audience profile, and historical performance data, the Platform uses algorithmic models to perform intelligent matching, recommending suitable Creators to Brands while pushing matching Campaign opportunities to you.

平臺基於品牌方 Campaign 需求與您的創作領域、受衆畫像、歷史表現數據，通過算法模型進行智能匹配，向品牌方推薦合適的創作者，同時向您推送匹配的 Campaign 機會。

4.2 Campaign Management

The Platform provides end-to-end Campaign management tools, including receiving and confirming collaboration invitations, reviewing Briefs, submitting and reviewing drafts, tracking delivery status, confirming publication, and checking settlement progress.

平臺提供端到端的 Campaign 管理工具，包括：合作邀約接收與確認、Brief 查閱、稿件提交與審閱流程、交付狀態跟蹤、發佈確認及結算進度查詢。

4.3 Content Collaboration

The Platform supports online communication and content collaboration between Brands and Creators, including Brief explanations, draft feedback, revision suggestions, and final confirmation. The Platform also provides AI-assisted content ideation and compliance checking tools.

平臺支持品牌方與創作者之間的在線溝通與內容協作，包括 Brief 說明、稿件反饋、修改建議及最終確認。平臺亦提供 AI 輔助的內容創意建議與合規檢測工具。

4.4 Outreach

Based on matching results, the Platform may send initial collaboration invitations to you on behalf of Brands. You may choose to accept or decline any invitation, and the Platform will not force you to participate in any Campaign.

平臺可基於匹配結果，代表品牌方向您發送初步合作邀約。您可自行選擇接受或拒絕任何邀約，平臺不會強制您參與任何 Campaign。

4.5 Data Analytics

The Platform provides you with a personal performance data dashboard, including the number of Campaigns completed, Brand feedback, and content performance data (such as views, engagement rate, and conversion data), helping you understand your performance and market value on the Platform.

平臺爲您提供個人表現數據儀表盤，包括 Campaign 完成數量、品牌方評價、內容表現數據（如觀看量、互動率、轉化數據等），幫助您瞭解自身在平臺上的表現與市場價值。

5. Creator Obligations and Representations

As a Platform Creator, you agree and undertake:

  • to complete content creation and publication on time and to the agreed quality in accordance with the confirmed Campaign information;

  • to ensure that your profile, portfolio, audience data, and other information are true, accurate, and not falsely exaggerated;

確保您提交的個人資料、作品集、受衆數據及其他信息真實、準確，不虛假誇大；

  • that the content you create is original and does not infringe any third party's intellectual property rights, reputation rights, portrait rights, privacy rights, or other legitimate rights and interests;

您創作的內容爲原創作品，不侵犯任何第三方的知識產權、名譽權、肖像權、隱私權或其他合法權益；

  • that your publishing activities comply with the community guidelines, advertising policies, and applicable laws of each social media platform;

您的發佈行爲遵守各社交媒體平臺的社區規則、廣告政策及適用法律；

  • that, where product samples are involved, you will properly safeguard and use them as agreed, and will not resell or divert them without the Brand's consent;

如涉及產品樣品，您應妥善保管並按約定使用，未經品牌方同意不得轉售或挪作他用；

  • that you will not engage in off-Platform private transactions with Brands met through the Platform to circumvent Platform service fees.

您不得在平臺外與通過平臺結識的品牌方進行私下交易以規避平臺服務費。

6. Compensation and Payment

6.1 Determination of Compensation

The pricing you set on the Platform (including deliverable specifications and corresponding prices) constitutes your offer to the Brand. Once the Brand confirms collaboration with you on the Platform, both parties reach agreement on the compensation for the specific Campaign. The Platform may provide pricing suggestions based on your historical performance, audience quality, and market demand, but the final price is determined by you.

您在平臺設置的報價（含交付物規格與對應價格）構成您對品牌方的要約。品牌方在平臺確認與您合作後，雙方即就特定 Campaign 的報酬達成一致。平臺可能根據您的歷史表現、受衆質量與市場需求向您提供報價建議，但最終報價由您自行決定。

6.2 Payment Channels

Brand payments and Creator compensation disbursements are processed through licensed payment service providers such as Airwallex. BeeMatch itself does not hold or escrow Creator compensation funds; funds are custodied and settled by the payment service provider in accordance with relevant licensing requirements.

品牌方付款及創作者報酬轉付均通過 Airwallex 空中雲匯等持牌支付服務商處理。BeeMatch 自身不持有、不託管創作者報酬資金，資金由支付服務商按相關持牌要求存管與結算。

6.3 Settlement Triggers

6.3 結算節點

Compensation is triggered for settlement at the following milestones: (a) upon completion of content publication as required by the Campaign and acceptance by the Brand, the corresponding compensation enters pending settlement status; (b) if the Brand does not raise reasonable objections during the acceptance period, acceptance is deemed to have passed; (c) the Platform disburses the compensation to you via Airwallex according to the agreed settlement cycle (typically 7-14 business days after acceptance).

報酬在以下節點觸發結算：(a) 您按 Campaign 要求完成內容發佈並經品牌方驗收確認後，相應報酬進入待結算狀態；(b) 品牌方在驗收期內未提出合理異議的，視爲驗收通過；(c) 平臺按約定的結算週期（通常爲驗收確認後 7-14 個工作日）通過 Airwallex 空中雲匯向您轉付報酬。

6.4 Platform Service Fee

BeeMatch charges Creators a certain percentage of service fee for the matching, management, and technical services provided by the Platform. The specific rate is subject to the Platform's published page. The service fee will be deducted from the total amount paid by the Brand, and the remainder is your actual compensation.

BeeMatch 就平臺提供的匹配、管理與技術服務，向創作者收取一定比例的服務費，具體費率以平臺頁面公示爲準。服務費將從品牌方支付的總費用中扣除，剩餘部分爲您的實際報酬。

6.5 Taxes

You are solely responsible for declaring and paying all taxes arising from Platform income in accordance with the law. Where applicable laws require the Platform to withhold and remit taxes, the Platform will do so in accordance with the law and indicate this in the settlement statement.

您應自行負責並依法申報與繳納因平臺收入產生的全部稅費。如適用法律要求平臺代扣代繳，平臺將依法執行並在結算明細中註明。

7. Intellectual Property and Content Licenses

7.1 Your Rights

You retain the intellectual property rights in the original content you create. For the purpose of completing a Campaign, you grant the Brand a non-exclusive, worldwide, non-transferable license to use the deliverables you create for the Campaign within the scope, period, and channels agreed in the Campaign information. The specific scope of use (including whether it covers advertising authorization, whitelisting, Bio links, etc.) is subject to the Campaign information confirmed on the Platform.

您保留對您創作的原創內容的知識產權。爲完成 Campaign 之目的，您授予品牌方一項非獨佔的、全球性的、不可轉讓的許可，允許品牌方在 Campaign 信息約定的範圍、期限與渠道內使用您爲 Campaign 創作的交付內容。具體使用範圍（如是否包含廣告授權、白名單投放、Bio 鏈接等）以平臺確認的 Campaign 信息爲準。

7.2 Platform License

You grant BeeMatch AI Technology Limited a worldwide, royalty-free, sublicensable license to access, store, and use your Creator Content solely for: (A) providing the Platform Services (including matching, recommendations, performance analysis, and report generation); (B) complying with applicable law; and (C) meeting BeeMatch's reasonable audit and data retention policy requirements. You also grant BeeMatch the right to display your public profile (including avatars, social media accounts, content samples, and performance data) within the Platform for Brand search and evaluation purposes.

您授予 BeeMatch AI Technology Limited 一項全球性的、免特許權使用費的、可分許可的許可，允許其訪問、存儲和使用您的創作者內容，僅用於：(A) 提供平臺服務（包括匹配、推薦、表現分析及報告生成）；(B) 遵守適用法律；及 (C) 滿足 BeeMatch 合理的審計與數據保留政策要求。您同時授予 BeeMatch 在平臺內展示您的公開資料（包括頭像、社交媒體賬號、內容樣本及表現數據）的權利，以便品牌方搜索與評估。

7.3 Platform Intellectual Property

All content displayed or provided by the Platform, including designs, infrastructure, graphics, software, brand names, logos, and trademarks, is owned by or duly licensed to BeeMatch AI Technology Limited and is protected by applicable intellectual property laws. Except for the limited licenses expressly granted in this Agreement, this Agreement does not transfer any rights or licenses to you.

平臺展示或提供的全部內容，包括設計、基礎設施、圖形、軟件、品牌名、標識與商標，均由 BeeMatch AI Technology Limited 擁有或獲得合法授權，受相關知識產權法律保護。除本協議明確授予的有限許可外，本協議不向您轉讓任何權利或許可。

8. Prohibited Conduct

You must not use the Platform to engage in any of the following activities:

您不得利用平臺從事以下行爲：

  • circumvent, undermine, or interfere with the Platform's security mechanisms, access controls, or authentication measures;

規避、破壞或干擾平臺的安全機制、訪問控制或身份驗證措施；

  • submitting false, inaccurate, or misleading profile, portfolio, or performance data;

提交虛假、不實或誤導性的個人資料、作品集或表現數據；

  • infringing any third party's intellectual property rights, personal rights, privacy rights, or other legitimate rights and interests;

侵犯任何第三方的知識產權、人格權、隱私權或其他合法權益；

  • engaging in off-Platform private transactions with Brands met through the Platform to circumvent Platform service fees;

在平臺外與通過平臺結識的品牌方進行私下交易以規避平臺服務費；

  • unauthorized scraping, collecting, or otherwise obtaining Platform data in bulk;

未經授權抓取、採集或以其他方式批量獲取平臺數據；

  • publishing content that is illegal, infringing, obscene, violent, hateful, or discriminatory;

發佈含有違法、侵權、色情、暴力、仇恨言論或歧視性內容；

  • violating any social media platform's community guidelines or advertising policies during Campaign execution.

在 Campaign 執行過程中違反任何社交媒體平臺的社區規則或廣告政策。

If we reasonably determine that you have violated any of the above rules, we may immediately suspend or terminate your access to the Platform and reserve the right to pursue liability in accordance with applicable law and Platform rules.

如我們合理認定您違反上述任一規則，可立即暫停或終止您對平臺的訪問，並依據適用法律與平臺規則保留追究責任的權利。

9. Third-Party Services

9.1 Data Services (Phyllo)

9.1 數據服務（Phyllo）

The Platform integrates third-party data API service providers such as Phyllo to obtain authorized public social media data, including your public profile, content performance data, and audience profile. The Platform only obtains such data through Phyllo with your explicit authorization, which you may revoke at any time in the Platform settings. Phyllo, as an independent data service provider, bears responsibility for the compliance of its data processing.

平臺集成 Phyllo 等第三方數據 API 服務商，用於獲取經您授權的社交媒體公開數據，包括您的公開個人資料、內容表現數據與受衆畫像。平臺僅在您明確授權的前提下通過 Phyllo 獲取此類數據，您可隨時在平臺設置中撤銷授權。Phyllo 作爲獨立的數據服務商，對其數據處理的合規性承擔責任。

9.2 Payment Services (Airwallex)

The Platform's payment services are provided by licensed payment service providers such as Airwallex. The rights and obligations between you and Airwallex are governed by the agreement you sign with the payment service provider. BeeMatch is not responsible for the system availability, settlement delays, or service interruptions of the payment service provider.

平臺支付服務由 Airwallex 空中雲匯等持牌支付服務商提供。您與 Airwallex 空中雲匯之間的權利義務，以您與支付服務商簽署的協議爲準。BeeMatch 不對支付服務商的系統可用性、結算延遲或服務中斷承擔責任。

9.3 Social Media Platforms

The Platform may contain links or integrations to third-party social media platforms. BeeMatch assumes no responsibility for the availability, content, policies, or practices of any such third-party platforms.

平臺可能包含指向第三方社交媒體平臺的鏈接或集成。BeeMatch 不對該等第三方平臺的可用性、內容、政策或實踐承擔任何責任。

10. Privacy and Data Protection

BeeMatch values your privacy and personal data protection. For details on how we collect, use, store, and protect your personal information, please refer to our Creator Privacy Policy and Data Processing Agreement.

BeeMatch 重視您的隱私與個人數據保護。關於我們如何收集、使用、存儲和保護您的個人信息，請參閱我們的《創作者隱私政策》及《數據處理協議》。

### 10A. Direct Marketing Consent

In accordance with Part 6A of the Hong Kong Personal Data (Privacy) Ordinance (Cap. 486), the following provisions apply to the use of your personal data for direct marketing purposes:

(a) Right to Withdraw Consent

You may, at any time and without charge, require us to cease using your personal data for direct marketing purposes. To withdraw your consent, please contact us at support@beematchai.com. Any withdrawal of consent shall take effect without delay and shall not affect the lawfulness of any processing carried out before such withdrawal.

(b) First-Use Notification of Opt-Out Right

When we first use your personal data for direct marketing, we will inform you of your right to require us, without charge, to cease using your personal data in direct marketing.

(c) Oral Consent — Written Confirmation within 14 Days

Where we obtain your oral consent to the use of your personal data for direct marketing, we will send you a written confirmation within 14 days of such oral consent. The written confirmation will set out:

· The types of personal data to be used for direct marketing;

· The classes of marketing subjects; and

· The response channel through which you may withdraw your consent.

You may raise any objection to the written confirmation within a reasonable period, and we will not use your personal data for direct marketing until the objection (if any) is resolved.

(d) Compliance with Creator Privacy Policy

For full details of our direct marketing practices, including the types of personal data used, the classes of marketing subjects, the use of Phyllo-sourced data for direct marketing, and the response channel, please refer to our Creator Privacy Policy (Section 3.2 — Direct Marketing).

#### 10A. 直銷同意

根據香港《個人資料（私隱）條例》（第 486 章）第 6A 部，以下條款適用於將您的個人資料用於直接促銷用途：

（一）撤回同意權

您可隨時要求我們停止將您的個人資料用於直接促銷用途，且我們不得就此收費。如欲撤回同意，請透過 support@beematchai.com 聯絡我們。任何同意的撤回應即時生效，且不影響撤回前已進行的處理的合法性。

（二）首次使用時告知拒絕權

當我們首次將您的個人資料用於直接促銷時，我們將告知您有權要求我們在不向您收費的情況下停止如此使用您的個人資料。

（三）口頭同意——14 天內書面確認

如我們取得您就將個人資料用於直接促銷的口頭同意，我們將於口頭同意後 14 天內向您發送書面確認。書面確認將載明：

· 將用於直接促銷的個人資料種類；

· 促銷標的類別；及

· 您可撤回同意的回應途徑。

您可在合理期間內就該書面確認提出異議，在異議（如有）解決前，我們不會將您的個人資料用於直接促銷。

（四）遵守創作者隱私政策

有關我們直接促銷做法的完整詳情，包括所使用的個人資料種類、促銷標的類別、透過 Phyllo 獲取的資料用於直接促銷，以及回應途徑，請參閱我們的《創作者隱私政策》（第 3.2 條——直銷）。

11. Term, Suspension, and Termination

This Agreement takes effect on the date of your first access to or use of the Platform and remains in effect until terminated in accordance with its provisions. You may terminate this Agreement at any time by closing your account. BeeMatch reserves the right to suspend or terminate your account under the following circumstances:

本協議自您首次訪問或使用平臺之日起生效，持續有效直至依本協議規定終止。您可隨時通過關閉賬戶終止本協議。BeeMatch 保留在以下情形下暫停或終止您賬戶的權利：

  • you materially breach this Agreement or applicable laws and regulations;

您嚴重違反本協議或適用法律法規；

  • your account or conduct poses a risk to the Platform, other users, or third parties;

您的賬戶或行爲對平臺、其他用戶或第三方造成風險；

  • you engage in fraudulent, abusive, or illegal activities;

您從事欺詐、濫用或非法活動；

  • as required by law, regulatory requirements, or legitimate orders of judicial authorities.

依據法律法規、監管要求或司法機關的合法指令。

Termination does not affect rights and obligations accrued prior to termination. After account termination, Campaign compensation you have completed but not yet settled will continue to be settled in accordance with Section 6 of this Agreement.

終止不影響終止前已產生的權利與義務。賬戶終止後，您已完成但尚未結算的 Campaign 報酬將按本協議第六條繼續結算。

12. Disclaimer

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. BeeMatch AI Technology Limited hereby expressly disclaims all express or implied warranties and conditions, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Platform will meet your specific requirements, nor do we warrant the specific performance, revenue, or results of any Campaign.

在適用法律允許的最大範圍內，服務按「現狀」與「可用」基礎提供。BeeMatch AI Technology Limited 在此明確否認任何明示或默示的保證與條件，包括但不限於對適銷性、特定用途適用性、未侵權的保證，以及不中斷、不出錯的保證。我們不保證平臺一定滿足您的特定需求，亦不保證任何 Campaign 的具體表現、收入或結果。

13. Limitation of Liability

To the maximum extent permitted by applicable law, BeeMatch AI Technology Limited shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. In no event shall BeeMatch AI Technology Limited's total liability to you exceed the amount of compensation you actually received through the Platform in the three months preceding the event giving rise to liability.

在適用法律允許的最大範圍內，BeeMatch AI Technology Limited 不就任何間接的、偶然的、特殊的、後果性的或懲罰性的損害，或任何利潤、收入、數據或商譽的損失，向您承擔任何責任。在任何情況下，BeeMatch AI Technology Limited 對您承擔的全部責任，不超過您在引發責任的事件發生前三個月內通過平臺實際獲得的報酬金額。

14. Indemnification

You agree to defend, indemnify, and hold harmless BeeMatch AI Technology Limited and its employees, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of this Agreement, infringement of any third-party rights, or violation of applicable law.

您同意就因您違反本協議、侵犯任何第三方權利或違反適用法律而產生的任何索賠、損害、責任、成本與費用（包括合理律師費），爲 BeeMatch AI Technology Limited 及其員工、代理人、關聯方進行辯護、賠償並使其免受損害。

15. Governing Law and Dispute Resolution

15. 適用法律與爭議解決

The formation, validity, interpretation, and performance of this Agreement are governed by the laws of the Hong Kong Special Administrative Region (excluding its conflict-of-laws rules). Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation between the parties. If consultation fails, either party may submit the dispute to a court of competent jurisdiction in the Hong Kong Special Administrative Region.

本協議的訂立、效力、解釋與履行，均適用香港特別行政區的法律（不含其衝突法規則）。因本協議引起的或與本協議相關的任何爭議，雙方應首先通過友好協商解決。協商不成的，任何一方可將爭議提交至香港特別行政區有管轄權的法院解決。

16.1 Amendments

We may amend this Agreement by posting an updated version on the Platform. Unless otherwise noted, the amended terms will take effect on the date of posting. For material changes, we will provide prior notice through the Platform or via email. Continued use of the Services constitutes acceptance of the amended terms.

我們可能通過在平臺發佈更新版本來修訂本協議。除非另有註明，修訂後的條款自發布之日起生效。對於重大變更，我們將通過平臺通知或電子郵件提前告知。繼續使用服務即視爲接受修訂後的條款。

16.2 Entire Agreement

This Agreement constitutes the entire agreement between you and BeeMatch AI Technology Limited regarding the Services and supersedes any prior oral or written communications on this subject matter.

本協議構成您與 BeeMatch AI Technology Limited 之間就服務所達成的完整協議，取代此前就此事項達成的任何口頭或書面溝通。

16.3 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, such provision shall be modified or deleted to the minimum extent necessary so that the remaining provisions of this Agreement continue in full force and effect.

如本協議中任何條款被認定爲無效、違法或不可執行，該條款應在必要的最小範圍內被修改或刪除，以使本協議其餘條款繼續具備完全效力。

16.4 No Waiver

The failure or delay by BeeMatch AI Technology Limited to exercise any right under this Agreement does not constitute a waiver of such right.

16.5 Assignment

You may not assign any of your rights or obligations under this Agreement without the prior written consent of BeeMatch AI Technology Limited. BeeMatch may assign this Agreement in connection with a merger, acquisition, or sale of assets, and will provide reasonable notice on the Platform.

未經 BeeMatch AI Technology Limited 事先書面同意，您不得轉讓本協議項下的任何權利或義務。BeeMatch 可基於合併、收購或資產出售等事由轉讓本協議，並將在平臺作出合理通知。
